These Terms and Conditions are part of the Purchase Order
- Confidential Information: All supplies, blueprints, models and other technical information furnished by Quality Engineering Services (QES) shall be deemed confidential information of Quality Engineering Services. Such information shall not be reproduced, given to or disclosed to any third party without Quality Engineering Services’ express written consent.
- Technical Data: When drawings and/or Purchase Orders indicate, Export Controls apply, any related information shall be handled as per Export Administration Regulations(EAR) and International Traffic in Arms Regulations(ITAR) requirements. Failure to secure such data may be subject to both criminal and administrative penalties.
- On Time Delivery: On Time Delivery is critical. Supplier shall notify QES as soon as is possible of any issues that may affect the suppliers’ ability to deliver by the date specified on the order.
- Nonconforming material: QES must be notified of all nonconformances before product is delivered. All “repair” or “us as is”, dispositions will be made by QES.
- Acceptance of product by QES or its customers, does not absolve the supplier of responsibility for anomalies/defects later detected.
- Flow Down of requirements: QES requires that you flow down all requirements of the purchase order to all interested parties internally and to any sub-tier suppliers performing work on this order.
- Right of Entry: QES, their customers and any applicable regulatory authorities maintain the right to access the suppliers’ facility and all applicable records associated with the order during regular business hours.
- DPAS: Any purchase order referencing Defense Priorities Allocation System ( DPAS) DO or DX Rating shall be handled per CFR Part 700 in accordance with the DoD property management system to assure these orders are scheduled and processed ahead of commercial jobs to assure timely delivery.
- Any questions concerning this purchase order should be resolved by communicating with the contact person noted on the purchase order.
- Nondiscrimination: The Seller, or its subcontractor(s), if any, shall not discriminate against any qualified employee or applicant for employment in the performance of this Agreement, with respect to hire, tenure, terms, conditions, or privileges of employment, or any matter directly or indirectly related to employment because of race, religion, color, sex, age, national origin or ancestry, disability or any other basis prohibited by applicable law. The Seller, or its subcontractor(s), if any, agrees to comply with all the provisions contained in Executive Orders No. 11246. As used therein the word “contractor” shall be deemed to mean “Seller,” and the word “contract ” shall refer to this Agreement. In addition, the seller shall cause the Equal Opportunity Clauses references above to be included in their subcontracts or purchase orders hereunder unless exempted by rules, regulations and orders of the Secretary of Labor issued pursuant to Section 204 of the Executive Orders No. 11246 and No. 11375 as amended.
